{"id":6932,"date":"2023-12-13T01:40:32","date_gmt":"2023-12-13T01:40:32","guid":{"rendered":"https:\/\/mpcp-advogados.com\/?p=6932"},"modified":"2024-09-10T16:56:21","modified_gmt":"2024-09-10T16:56:21","slug":"insolvabilite-du-vendeur-prometteur","status":"publish","type":"post","link":"https:\/\/mpcp-advogados.com\/fr\/insolvabilite-du-vendeur-prometteur\/","title":{"rendered":"Insolvabilit\u00e9 du promettant-vendeur"},"content":{"rendered":"<div id=\"fws_69e2043c5e417\"  data-column-margin=\"default\" data-midnight=\"dark\"  class=\"wpb_row vc_row-fluid vc_row\"  style=\"padding-top: 0px; padding-bottom: 0px; \"><div class=\"row-bg-wrap\" data-bg-animation=\"none\" data-bg-overlay=\"false\"><div class=\"inner-wrap\"><div class=\"row-bg viewport-desktop\"  style=\"\"><\/div><\/div><\/div><div class=\"row_col_wrap_12 col span_12 dark left\">\n\t<div  class=\"vc_col-sm-12 wpb_column column_container vc_column_container col no-extra-padding inherit_tablet inherit_phone\"  data-padding-pos=\"all\" data-has-bg-color=\"false\" data-bg-color=\"\" data-bg-opacity=\"1\" data-animation=\"\" data-delay=\"0\" >\n\t\t<div class=\"vc_column-inner\" >\n\t\t\t<div class=\"wpb_wrapper\">\n\t\t\t\t\n<div class=\"wpb_text_column wpb_content_element\" >\n\t<div class=\"wpb_wrapper\">\n\t\t<h3>L\u2019insolvabilit\u00e9 du candidat vendeur n\u00e9cessite un r\u00e9gime d\u2019insolvabilit\u00e9 sp\u00e9cifique, avec une \u00e9volution jurisprudentielle consid\u00e9rable et controvers\u00e9e.<\/h3>\n<p>&nbsp;<\/p>\n<div>\n<p>L&#039;art. 106 du Code de l&#039;Insolvabilit\u00e9 et de la Reprise des Entreprises (CIRE) est pr\u00e9sent\u00e9 comme la<br \/>\nr\u00e8gle du r\u00e9gime d\u2019insolvabilit\u00e9 applicable au contrat \u00e0 ordre. Selon le paragraphe 1 de l&#039;art. 106\u00e8me de<br \/>\nCIRE, en cas d&#039;insolvabilit\u00e9 du promettant-vendeur, l&#039;administrateur judiciaire ne peut<br \/>\nrefuser de remplir le contrat de promesse avec une r\u00e9elle efficacit\u00e9, circonstance qui lie les deux<br \/>\nparties \u00e0 la conclusion du contrat d\u00e9finitif. Nous sommes confront\u00e9s \u00e0 un pr\u00e9cepte particulier par rapport \u00e0 la r\u00e8gle g\u00e9n\u00e9rale<br \/>\ntraduit en art. 102 CIRE, selon lequel l&#039;administrateur judiciaire choisit librement le<br \/>\nr\u00e9alisation ou non des affaires en cours. Cependant, cette inadmissibilit\u00e9 de refuser le<br \/>\nl&#039;ex\u00e9cution du contrat de promesse d&#039;achat et de vente d\u00e9pend de la v\u00e9rification de certains<br \/>\nexigences, il est notamment exig\u00e9 que le contrat \u00e0 ordre en question ait une r\u00e9elle efficacit\u00e9 et que<br \/>\nil existe une tradition concernant la chose qui fait l&#039;objet du contrat \u00e0 ordre.<\/p>\n<p>Compte tenu de ce r\u00e9gime, la doctrine a discut\u00e9, dans le cadre des effets sur l&#039;activit\u00e9 en cours et<br \/>\nen raison de la fr\u00e9quence avec laquelle, dans la pratique, la situation des contrats \u00e0 ordre est effectivement v\u00e9rifi\u00e9e<br \/>\nsimplement obligatoire relatif \u00e0 un immeuble urbain ou \u00e0 une fraction autonome. N&#039;ayant pas de r\u00e9elle efficacit\u00e9, le<br \/>\nL&#039;administrateur de l&#039;insolvabilit\u00e9 est libre de refuser de s&#039;y conformer. Sur ce point, il n&#039;y a pas<br \/>\ngros doutes.<\/p>\n<p>La question fondamentale \u00e0 cet \u00e9gard est de savoir si, en cas de refus de l&#039;administrateur,<br \/>\nle promettant-acheteur qui a obtenu la tradition de la chose, jouit du droit de recevoir l&#039;acompte en<br \/>\ndouble, conform\u00e9ment \u00e0 l&#039;art. 442, n\u00b0 2 du Code civil, d&#039;une part, et b\u00e9n\u00e9ficie, d&#039;autre part, du<br \/>\nqualification de votre cr\u00e9dit comme garanti par le droit de r\u00e9tention pr\u00e9vu \u00e0 l&#039;art. 755, n\u00b0 1, al.<br \/>\nC) du Code civil.<\/p>\n<p>L&#039;art. 442.\u00ba, n\u00b0 2 du Code Civil stipule que le droit au double d\u00e9p\u00f4t suppose une v\u00e9rification<br \/>\ncumulatif de trois facteurs, \u00e0 savoir :<\/p>\n<p>\u2013 la d\u00e9faillance du d\u00e9biteur ;<br \/>\n\u2013 v\u00e9rification d&#039;une non-conformit\u00e9 ill\u00e9gale ;<br \/>\n\u2013 et enfin, elle exige que le non-respect illicite soit imputable au d\u00e9biteur.<\/p>\n<p>La Cour supr\u00eame de justice, syst\u00e9matiquement confront\u00e9e \u00e0 ces questions, et aux<br \/>\nantagonisme des d\u00e9cisions des tribunaux de premi\u00e8re et de deuxi\u00e8me instance, prononc\u00e9es en deux<br \/>\narr\u00eats importants uniformisant la jurisprudence.<\/p>\n<p>Dans le premier d&#039;entre eux, l&#039;arr\u00eat du 20 mars 2014 (proc. 92\/05.6TYVNG-M.P1.S1), la Cour supr\u00eame<br \/>\nLa Cour de justice a opt\u00e9 pour une interpr\u00e9tation extensive des art. 442.\u00ba, n\u00b0 2 et 755.\u00ba, n\u00b0 1, al. C) de<br \/>\nCode civil et art. 106\u00e8me de la CIRE. Elle croyait comprendre que l&#039;exigence de non-conformit\u00e9 \u00e9tait imputable au<br \/>\nd\u00e9biteur, comportait une imputabilit\u00e9 indirecte, m\u00e9diate ou r\u00e9flexe, \u00e9liminant la notion de culpabilit\u00e9 au<br \/>\nen vient \u00e0 signifier la causalit\u00e9.<\/p>\n<p>Mais l&#039;arr\u00eat ne pr\u00e9cise pas directement si le refus d&#039;obtemp\u00e9rer du<br \/>\nl&#039;administrateur vous accorde le droit de rembourser l&#039;acompte en double, ou si, au contraire, vous ne devez que le<br \/>\nL&#039;acheteur prometteur re\u00e7oit la caution, en termes simples.<\/p>\n<p>Concernant le droit de r\u00e9tention pr\u00e9vu \u00e0 l&#039;art. 755.\u00ba, n\u00ba1, al. f) du Code civil, la Cour supr\u00eame de<br \/>\nLa justice a opt\u00e9 pour une interpr\u00e9tation restrictive, attribuant le droit de r\u00e9tention au seul promettant<br \/>\nacheteur qui est en m\u00eame temps consommateur.<\/p>\n<p>D\u00e9taillant plus tard, dans l&#039;arr\u00eat qui uniformise la jurisprudence du 12 f\u00e9vrier 2019, proc.<br \/>\n(2384\/08.3TBSTS-D.P1.S1-A), la notion de consommateur \u00e0 cet effet, qui pr\u00e9suppose que le<br \/>\nle bien objet du contrat \u00e0 ordre est destin\u00e9 \u00e0 l&#039;usage priv\u00e9 du promettant-acheteur,<br \/>\nN&#039;inclut pas l&#039;exercice d&#039;activit\u00e9s professionnelles ou lucratives.<\/p>\n<p>Le 27 avril 2021, l&#039;arr\u00eat de la Cour supr\u00eame de justice (proc. n\u00b0 872\/10.0TYVNG-B.P1.S1-<br \/>\nA), est venu se d\u00e9clarer pour la suppression du r\u00e9gime de l&#039;article 442\u00ba n\u00ba 2 du Code Civil, et, par cons\u00e9quent<br \/>\nrefuser le droit de restituer le double de l&#039;acompte \u00e0 l&#039;acheteur prometteur, ce qui<br \/>\nun c\u00f4t\u00e9 semble justifi\u00e9, \u00e9tant donn\u00e9 que le comportement de l&#039;administrateur ne sera g\u00e9n\u00e9ralement pas ill\u00e9gal, car<br \/>\nun autre conf\u00e8re logiquement moins de solidit\u00e9 au promettant-acheteur qui se retrouve priv\u00e9 du<br \/>\nl&#039;indemnisation \u00e0 laquelle il croyait avoir droit au moment de la signature du contrat \u00e0 ordre.<\/p>\n<p>Il convient de noter que cette jurisprudence et d\u2019autres ont \u00e9t\u00e9 controvers\u00e9es, m\u00eame au sein du pays lui-m\u00eame.<br \/>\nCour supr\u00eame de justice, et dans les arr\u00eats susmentionn\u00e9s, on peut trouver plusieurs votes n\u00e9gatifs,<br \/>\nqui d\u00e9montrent la divergence des opinions et la complexit\u00e9 de cette question.<\/p>\n<p>Au vu de ce qui a \u00e9t\u00e9 d\u00e9cid\u00e9 dans ces arr\u00eats, la tendance de la jurisprudence est que, s&#039;il existe un<br \/>\ntradition de la propri\u00e9t\u00e9, le cr\u00e9dit de l&#039;acheteur potentiel prime sur celui du cr\u00e9ancier hypoth\u00e9caire et toujours<br \/>\nSi l&#039;acheteur potentiel est un consommateur, le droit au remboursement de l&#039;acompte sera un avoir<br \/>\ngaranti en vertu du droit de r\u00e9tention.*<\/p>\n<p>* Cet article est fourni \u00e0 titre informatif uniquement et n&#039;exclut pas la n\u00e9cessit\u00e9 de<br \/>\nconseils d&#039;un avocat.<\/p>\n<p>&nbsp;<\/p>\n<\/div>\n\t<\/div>\n<\/div>\n\n\n\n\n\t\t\t<\/div> \n\t\t<\/div>\n\t<\/div> \n<\/div><\/div>","protected":false},"excerpt":{"rendered":"<p>L\u2019insolvabilit\u00e9 du candidat vendeur n\u00e9cessite un r\u00e9gime d\u2019insolvabilit\u00e9 sp\u00e9cifique, avec une \u00e9volution jurisprudentielle consid\u00e9rable et controvers\u00e9e.<\/p>","protected":false},"author":3,"featured_media":6826,"comment_status":"closed","ping_status":"closed","sticky":false,"template":"","format":"standard","meta":{"inline_featured_image":false,"_monsterinsights_skip_tracking":false,"_monsterinsights_sitenote_active":false,"_monsterinsights_sitenote_note":"","_monsterinsights_sitenote_category":0,"footnotes":""},"categories":[26],"tags":[],"class_list":{"0":"post-6932","1":"post","2":"type-post","3":"status-publish","4":"format-standard","5":"has-post-thumbnail","7":"category-legal-mpcp"},"yoast_head":"<!-- This site is optimized with the Yoast SEO plugin v26.4 -
